The general terms and conditions of sale
Price
All our prices are for goods in our establishments, with additional fees and taxes. They are for indicative purposes only and are subject to change at any time without notice. In the case of imported goods, our prices are subject to revision based on potential variations in cost elements related to importation, including changes in currency exchange rates, import duties or taxes, etc.
Commitments
Our intermediaries, agents, have no authority to bind our company: their offers must be confirmed by us. We reserve the right to waive your order if we have not confirmed it.
Delivery
Regardless of the mode of shipment, the goods travel at the recipient’s own risk, even if they are shipped prepaid. Delivery times are provided for guidance only. A delivery delay cannot give rise to a claim for compensation, nor to the refusal of the goods, nor in any case to the cancellation of the order.
Delivery is made cash without discount, unless otherwise specified in a written agreement. Delivery is made with all expenses borne by the recipient.
Deposit
The deposits paid by our customer are to be deducted from the price of the order and do not constitute earnest money, the abandonment of which would allow the parties to terminate the contract.
Claims
Claims must be made in writing by registered mail no later than 3 days after receiving the goods. Any claim must be accompanied by a copy of the delivery note from the carrier, including all customary reservations, especially in the case of receiving damaged parcel(s). No order can be canceled without our agreement. Claims regarding a defect, non-conformity, or vice will no longer be accepted if the item(s) have already been sold to a third party at the time of the dispute.
Payment
Our invoices are payable in cash in Ypres, net and without discount. Neither the delivery of bills of exchange nor staggered payments constitute novation and do not constitute a waiver of the jurisdiction clause.
Amounts not settled by their due date automatically incur, without formal notice, the application of an interest rate of 15% per annum. Furthermore, in addition to the interest stipulated above, it is expressly agreed between the parties that in case of non-payment within one month of the due date, and without prior notice, the amount of the invoices or their balance will be increased by 15%, with a minimum of 50 euros per invoice, as a fixed and non-negotiable penalty clause.
When contracts involve different items, these are considered indivisible until full payment of the price.
Non-payment of an invoice by its due date renders all amounts due immediately payable.
Retention of ownership
It is expressly agreed, by way of derogation from Article 1583 of the Civil Code, that the transfer of ownership of the sold items is suspended until full payment, with bills of exchange being considered as payments only when honored.
Disputes
For any disputes arising from the application of these terms, the contracting parties expressly submit to the jurisdiction of the Courts of the Ypres district, even in the event that our contracting parties are domiciled in a country other than Belgium.
The only applicable law is Belgian law, and to the extent that it does not derogate from these provisions, the convention regarding the uniform law on the international sale of movable tangible property, and the annex made in The Hague on July 1, 1964 and entered into force in Belgium by the law of July 15, 1970.
By placing an order, the customer adheres to these general conditions, waiving any special conditions mentioned in their own purchase orders, letters, or commercial documents, even if these documents are established subsequently to the establishment of our conditions.
Personal Data Protection
We process your personal data in accordance with the Belgian Law on the Protection of Privacy of December 8, 1992, as amended by the Law of December 11, 1998. The data will never be transmitted or sold to third parties.
